Dear Customers:
We are very excited about this up and coming season as we are receiving many calls and have
made many inroads into new markets for Spanish River Carbonatite. We would like to welcome
the new customers who are receiving this price and term sheet for the first time and also we
would like to thank our existing customers for their continued support and we are looking forward
to a prosperous year.
Below are the terms of sale as well as a new pricing structure for the 2009 season. We are
introducing a volume based pricing structure this year.
TERMS AND CONDITIONS OF SALE
1. This material will be available subject to normal force majeure provisions in particular 1/2-
load restrictions expected after March 15. Processed material is in limited supply and will
be available on a first come, first serve basis. Orders are only final when the invoice for
the sale is received.
2. Processing and delivery of material is subject to limitations and provisions as stated in
our quarry permit and AMP reserves the right to refuse any sale that would otherwise
compromise the license to produce and ship material from the mine site.
3. The terms of payment will be cash on delivery. Late payments are subject to a 2% per
month (24% per year) financing charge.
4. AMP reserves the right to refuse sales to distributors and generally does so based on
whether the intended end use of the product or the geographic region compromises the
markets and sales for other dealers or for AMP.
5. Customers assume responsibility for the transport of the material from designated AMP
stockpiles. All prices above are quoted F.O.B. Burn’s quarry. AMP has arrangements
with locations in the Sudbury area to have loads scaled and to also stockpile material and
these arrangements can change without notice. Only final orders (refer to term #1
above) will be delivered from designated AMP stockpiles and AMP reserves the right to
revoke all dealer privileges to those who do not honor this condition of sale.
6. Material can include up to 7% moisture.
